§1. DEFINITIONS AND INTERPRETATION
In these Terms, the following words and expressions shall have the meanings set forth below:
"Platform" means the Intelogistik Warehouse Management System software and services.
"Client" means the enterprise organization that has been granted access to the Platform.
"Access Key" means the unique enterprise authentication credential required for Platform access.
"WMS" means Warehouse Management System functionality provided by the Platform.
"Enterprise User" means an authorized individual acting on behalf of the Client organization.
"Confidential Information" means all proprietary data, algorithms, and business intelligence.
§2. ACCEPTANCE AND BINDING EFFECT
2.1 Agreement Formation. By accessing or using the Platform, Client agrees to be legally bound by these Terms of Service, which constitute a binding contract between Client and Intelogistik ("Company").
2.2 Enterprise Authorization. Client represents that it has full corporate authority to enter into this agreement and that the person accepting these Terms is duly authorized to bind the Client organization.
2.3 Precedence. These Terms supersede all previous agreements, understandings, and communications regarding the subject matter herein.
§3. SERVICE DESCRIPTION
3.1 Core Warehouse Management System
The Platform provides enterprise-grade warehouse operations management comprising:
Inventory Management Capabilities:
- • Real-time inventory tracking across multiple warehouse locations
- • Automated stock classification and status monitoring (In Stock, Low Stock, Out of Stock, Unchecked)
- • Advanced analytics including demand forecasting and ABC analysis
- • Complete audit trails for all stock adjustments and movements
- • Economic Order Quantity (EOQ) calculations and reorder point optimization
- • Multi-location inventory visibility and cross-warehouse transfers
Order Processing and Fulfillment:
- • Comprehensive inbound order management (receiving, putaway, quality control)
- • Complete outbound order processing (picking, packing, shipping workflows)
- • Priority-based order processing with configurable business rules
- • Batch processing capabilities for high-volume enterprise operations
- • Advanced inventory allocation and order validation systems
- • Integration with enterprise resource planning (ERP) systems
3.2 Artificial Intelligence Features
Document Processing and Generation:
- • AI-powered document template creation for invoices, packing slips, and delivery notes
- • Automated data extraction from multiple file formats (PDF, Excel, Word, images)
- • Optical Character Recognition (OCR) for document digitization
- • Custom parser creation for supplier-specific document formats
Intelligent Operations:
- • AI-assisted order creation and inventory allocation optimization
- • Smart location recommendations for putaway operations
- • Demand pattern recognition and predictive analytics
- • Machine learning-powered efficiency improvements
3.3 Financial and Analytics Capabilities
- • Real-time inventory valuation and cost accounting
- • Comprehensive financial reporting and profitability analysis
- • Advanced KPI dashboards and performance metrics
- • Cost center allocation and warehouse profitability tracking
- • Investment requirement analysis for restocking operations
§4. ACCESS CONTROLS AND ENTERPRISE FEATURES
4.1 Access Key Authentication System
- • Platform access is restricted exclusively to enterprise clients possessing valid access keys
- • Access keys are issued solely by authorized Intelogistik personnel through established enterprise channels
- • Each access key contains usage limitations, expiration dates, and organizational restrictions
- • Unauthorized sharing, distribution, or sublicensing of access keys is strictly prohibited and constitutes material breach
4.2 Role-Based Access Control
The Platform implements granular permission structures:
Administrator Role
Complete system configuration and user management authority
Manager Role
Operational oversight with reporting and approval capabilities
Operator Role
Day-to-day operations including order processing and inventory management
Viewer Role
Read-only access for monitoring and reporting purposes
§5. DATA SECURITY AND PRIVACY
5.1 Security Measures
- • Enterprise-grade security protocols protecting all operational and inventory data
- • Encrypted data transmission using TLS 1.3 and storage with AES-256 encryption
- • Regular third-party security audits and penetration testing
- • Compliance with SOC 2 Type II and relevant industry security standards
5.2 Data Ownership and Rights
- • Client retains complete ownership of all operational data, inventory records, and business information
- • Data portability guaranteed through standard export formats (CSV, Excel, JSON, API)
- • Data retention and deletion policies comply with enterprise requirements and applicable law
- • No client data is used for training AI models without explicit written consent
§6. ACCEPTABLE USE POLICY
6.1 Permitted Uses
- • Warehouse inventory management and operational optimization
- • Order processing, fulfillment, and supply chain management
- • Business intelligence analytics and performance reporting
- • Document generation for legitimate business purposes
- • Integration with Client's existing enterprise systems via provided APIs
6.2 Prohibited Activities
- • Reverse engineering, decompiling, or attempting to extract source code
- • Sharing access credentials or sublicensing access to unauthorized parties
- • Using the Platform for illegal activities or violation of applicable laws
- • Attempting to overwhelm or compromise system infrastructure
- • Accessing or attempting to access data belonging to other organizations
§7. SERVICE LEVEL COMMITMENTS
7.1 Performance Standards
- • Sub-second response times for standard inventory queries and updates
- • Real-time synchronization of inventory levels across all system interfaces
- • Automated backup procedures with point-in-time recovery capabilities
- • Planned maintenance notifications provided minimum 48 hours in advance
§8. LIMITATIONS AND DISCLAIMERS
8.1 AI System Limitations
- • AI-generated documents and extracted data are provided "as-is" without accuracy guarantees
- • Enterprise Users must validate all AI-generated content before operational deployment
- • Machine learning algorithms may produce varying results as models are updated
- • OCR accuracy depends on source document quality and may require manual verification
8.2 System Accuracy
Platform accuracy is contingent upon proper data entry procedures and operational compliance. Physical inventory discrepancies may occur and require regular reconciliation. Company assumes no liability for business losses resulting from data entry errors or system discrepancies.
§9. LIABILITY AND INDEMNIFICATION
9.1 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY CLIENT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
9.2 Excluded Damages
IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY.

10.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the Alternative Dispute Resolution Act of 2004 (Republic Act No. 9285) and the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
